Bookings

Sessions are confirmed upon written agreement and deposit. Availability is limited and offered on a first-come basis.

• Quotes are valid for 14 calendar days unless otherwise noted.
• Hold requests do not guarantee a date; only a paid deposit and signed agreement secure the booking.
• Call sheets, access instructions, permits, and clearances must be provided 48 hours before the session.

Rescheduling & cancellation

• 7+ days before the session: no fee.
• 2–6 days: 25% fee.
• Within 48 hours: 50% fee. Rental bookings may incur additional venue fees.

Weather-related reschedules are accommodated where possible. Travel, rentals, and third‑party costs already incurred remain payable.

Payment

All prices are in CAD. HST/GST/PST may apply by province. Invoices are payable upon receipt unless stated otherwise.

• Deposits are non‑refundable unless Exovent cancels.
• Late payments may accrue 1.5% monthly interest (18% APR) or the maximum allowed by law.
• Rush fees may apply to expedited production or delivery requests.

Usage rights

Unless otherwise agreed, Exovent grants client usage for agreed contexts. Exovent retains copyright to images and may showcase work in portfolio.

Attribution & restrictions

• Client may not sell, sublicense, or enter images into stock libraries without written permission.
• Third‑party use (press, partners, affiliates) requires an extended license.
• Credit “Exovent Photo Studio” is appreciated where customary.

Liability

We are not liable for indirect or consequential damages. Our total liability shall not exceed the amount paid for the services.

• Client is responsible for safe working conditions and site access.
• Client warrants they have authority to permit photography at the location and for all depicted subjects/props.

Studio rules

• No smoking, vaping, or open flames unless approved in writing and compliant with local regulations.
• Food and beverages kept away from sets and equipment unless part of the production.
• Pets only with prior approval and handler; service animals are welcomed as required by law.
• Minors must be accompanied by a parent/guardian with signed consent forms.
• Damages to studio, sets, or equipment are billable to the client.

Deliverables

Standard turnaround is 3–7 business days after selection approval. Delivery is via secure gallery or download link.

• Proofs are watermarked and for selection only.
• Finals are delivered in JPEG unless otherwise agreed (TIFF/PNG on request).
• Colour management targets sRGB unless a different profile is specified.

Retouching

Basic colour and exposure adjustments are included. Advanced retouching (complex object removal, composites, CGI) is quoted separately.

Reshoot policy

Reshoots due to technical error by Exovent are provided at no charge. Creative changes or scope additions after the shoot are billable.

Data retention

Project files are archived for 90 days after delivery. Long‑term archiving is not guaranteed; request archival services if needed.

Force majeure

We are not responsible for delays or failures due to events beyond reasonable control, including but not limited to power outages, strikes, severe weather, or government actions.

Governing law

These terms are governed by the laws of the Province of Ontario and the laws of Canada applicable therein. Venue is Toronto, Ontario.

Dispute resolution

Parties will attempt good‑faith negotiation for 30 days before pursuing mediation or litigation.
